Nairobi Hospital AGM Faces Legal Storm as Members Warned Against Tuesday Meeting

The Kenya Hospital Association (KHA), trading as The Nairobi Hospital, is facing renewed legal and governance controversy ahead of an Annual General Meeting (AGM) purportedly scheduled for Tuesday, 25 August 2026.
A Public Notice published in today’s Daily Nation, together with an accompanying legal letter, has raised serious objections to the proposed AGM, citing what the notice describes as subsisting court orders, inadequate notice, an unaudited membership register and fundamental irregularities surrounding the proposed business and electoral process.
At the centre of the dispute are orders issued by the High Court on 5 November 2025. According to the notice, the orders were confirmed during court proceedings on 18 November 2025 and subsequently extracted on 20 November 2025.
The notice states that, at paragraphs 10 and 11 of the extracted proceedings, the Court directed that the orders of 5 November 2025 would remain in force until the Notice of Motion Application dated 4 November 2025 and the Preliminary Objection were heard and determined.
The ruling on the Preliminary Objection is scheduled for 5 November 2026.
The legal position advanced in the notice is therefore that the orders remain binding unless they are varied or discharged by the Court.
Members Warned Not to Attend
Against this backdrop, members and other stakeholders have been advised not to attend or participate in the proposed AGM, pending resolution of the outstanding legal issues.
The Board and Company Secretary have also been called upon to immediately withdraw the AGM notice.
The objections have thrown the proposed meeting into fresh uncertainty, with questions being raised over whether the AGM can lawfully proceed while the cited court orders remain in force.
The dispute also places the spotlight on governance at one of Kenya’s prominent private healthcare institutions, particularly regarding the integrity of its membership register, adequacy of notice to members and the conduct of the proposed electoral process.
Stakeholders are now awaiting further clarification from the Kenya Hospital Association and the Court as the legal dispute continues.
The developments could determine whether the planned 25 August AGM proceeds or is halted pending the resolution of the outstanding court matters.
